1. Definitions

2. Scope of Service
The Service is a software-based point-of-sale solution that may include product management, invoicing, sales reporting, user management, and other features. Certain features may require a stable internet connection and compatible devices/hardware.
3. Edge Plan; Subscription, Limits, and Features
The Edge plan includes:

Price: BDT 350.00 per 1 month subscription term (“Billing Cycle”)

Business Locations: 1 Business Location

Users: up to 6 Authorized Users

Products: up to 1,000 products/SKUs

Invoices: Unlimited invoices

Trial: 365 trial days (see Section 4)
Plan Limit Enforcement. We may restrict access to features, prevent adding additional users/products/locations, or require an upgrade if you exceed Plan limits.
Note: If your actual intended price is not BDT 350/month (for example, USD 350/month converted to BDT), update this line to avoid disputes.
4. Trial (365 Days)
4.1 Eligibility. Trial access is for new customers unless otherwise agreed in writing.
4.2 Trial Period. The trial starts when you activate it and lasts 365 days, unless ended earlier under these Terms.
4.3 Trial Features. Trial features may differ from paid features and may be changed at our discretion.
4.4 Conversion. At the end of the trial, continued use requires a paid subscription. If you have provided payment details, you authorize us to charge the subscription fee at trial end unless you cancel before the trial ends.
4.5 Trial Disclaimer. Trial access is provided “AS IS” and “AS AVAILABLE” to the maximum extent permitted by law.
5. Account Registration and Customer Responsibilities
5.1 Accurate Information. You must provide accurate information and keep it updated.
5.2 Security. You are responsible for safeguarding credentials and all activity under your Account.
5.3 Authorized Users. You are responsible for ensuring Authorized Users comply with these Terms.
5.4 Legal Compliance. You are responsible for compliance with applicable Bangladeshi laws, including tax/VAT, record retention, and consumer protection requirements.
6. Fees, Payment, and Taxes
6.1 Fees. Subscription fees are billed in advance each Billing Cycle unless stated otherwise.
6.2 Currency. All fees are payable in Bangladeshi Taka (BDT) unless expressly stated otherwise in writing.
6.3 VAT/Taxes. Fees are exclusive of any applicable VAT, taxes, duties, or levies unless stated as “VAT inclusive” on the invoice. Customer is responsible for applicable taxes.
6.4 Payment Method. Payments may be processed via [bKash/Nagad/bank transfer/card/processor]. By providing a payment method, you authorize recurring charges as applicable.
6.5 Late/Failed Payments. If payment is overdue or fails, we may suspend or restrict access until all outstanding amounts are paid.
6.6 Fee Changes. We may change fees with prior notice. If you do not accept changes, you may cancel before the change takes effect.
7. Renewals, Cancellations, and Refund Policy
7.1 Auto-Renewal. Subscriptions renew automatically each Billing Cycle unless canceled before renewal.

7.3 Refunds. Fees are generally non-refundable once paid, except where required by applicable law or where we explicitly agree otherwise in writing.

8. Acceptable Use

9. Customer Data; Privacy and Security
9.1 Ownership. Customer retains ownership of Customer Data.
9.2 License to Process Data. You grant us a limited license to host, process, and transmit Customer Data to provide and improve the Service and to fulfill legal obligations.

9.4 Security. We use reasonable safeguards to protect Customer Data, but no system can be guaranteed secure. You are responsible for securing your devices, networks, and account credentials.

10. Data Retention and Export

11. Third-Party Services and Hardware

11.2 Hardware. Unless explicitly included, POS hardware is not included. You are responsible for purchasing, maintaining, and ensuring compatibility of devices such as printers, barcode scanners, cash drawers, and terminals.
12. Service Availability and Support
12.1 Availability. We strive for reliable operation but do not guarantee uninterrupted service.
12.2 Maintenance. We may conduct maintenance causing downtime, usually with reasonable notice where practicable.

13. Intellectual Property
We (and our licensors) retain all rights, title, and interest in the Service, including software, documentation, and trademarks. You receive a limited, non-exclusive, non-transferable license to use the Service during an active subscription, subject to these Terms.

Each party agrees to protect the other party’s confidential information using reasonable care and not disclose it except to personnel/contractors with a need to know and confidentiality obligations.
15. Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE FEES PAID BY CUSTOMER FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
If applicable law does not allow certain limitations, liability will be limited to the fullest extent permitted.
17. Indemnity
You agree to indemnify and hold the Company harmless from claims arising from (a) your misuse of the Service, (b) Customer Data, or (c) violation of applicable laws or third-party rights.
18. Changes to the Service or Terms
We may update the Service and these Terms. If changes are material, we will provide reasonable notice. Continued use after the effective date of changes constitutes acceptance.
19. Governing Law and Dispute Resolution (Bangladesh)
